Agreement to Terms

These Terms of Service ("Terms") govern your use of houndwise.net and any related client dashboard, and your engagement with houndwise ("we," "us," or "our") for web design, SEO, digital advertising, and hosting services. By using our website, signing a service agreement, or accessing your client dashboard, you agree to these Terms.

Our Services

houndwise provides website design and development, search engine optimization, digital advertising management (including Google Ads), and website hosting for small businesses. The specific services, deliverables, and pricing for your account are set out in your selected plan or a separate agreement, and are summarized on your client dashboard.

Client Accounts

Clients are given a private dashboard account to view their website, hosting status, advertising performance, invoices, and support tickets. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

Advertising Account Access

If you engage us to manage advertising campaigns, you authorize us to access and manage your Google Ads account (or a linked sub-account under our manager account) on your behalf, solely to run and report on the campaigns we manage for you. Performance data pulled from your ad account is displayed back to you on your dashboard, consistent with our Privacy Policy.

Payment Terms

Fees for setup, monthly management, hosting, and any add-on services are due as described in your plan or service agreement. Late or failed payments may result in suspension of services, including hosting and advertising management, until the account is brought current.

Client Responsibilities

• Providing accurate business information, content, and timely feedback needed to complete your website and marketing work.
• Ensuring you have the rights to any content, images, logos, or trademarks you provide us to use on your behalf.
• Complying with the advertising policies of any platform we manage on your behalf (e.g. Google Ads policies).

Intellectual Property

Upon full payment, you own the final website design and content created specifically for your business. houndwise retains ownership of its own tools, templates, and underlying platform code used to build and operate your website and dashboard, and may reuse general, non-client-specific components across other client projects.

Service Availability

We aim to keep hosted websites and dashboards available and performant, but we do not guarantee uninterrupted, error-free service. Scheduled maintenance or third-party outages (e.g. our hosting or cloud providers) may occasionally affect availability.

Termination

Either party may terminate services in accordance with the terms of your service agreement. Upon termination, we will provide reasonable cooperation to transition or hand off your website and data, subject to any outstanding fees being settled.

Limitation of Liability

To the fullest extent permitted by law, houndwise is not liable for indirect, incidental, or consequential damages arising from your use of our services, including lost revenue or lost advertising spend, except where caused by our gross negligence or willful misconduct.

Disclaimer of Warranties

Our services and website are provided "as is" without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, except as otherwise required by applicable law.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the state in which houndwise operates, without regard to conflict-of-law principles.
